User Agreement

This User Agreement ("Agreement") is a contract between you (the "User") and ZiMoney Pty Ltd ("ZiMoney", "we", "us") that governs your use of the ZiMoney platform and services. By creating a ZiMoney account or using any ZiMoney services, you agree to comply with all the terms and conditions of this Agreement. You should read this document carefully. If you do not agree with any part of this Agreement, you must not use the ZiMoney services.

1. Description of Services

ZiMoney operates an online platform that enables Users to perform financial transactions such as sending and making payments, and related services ("ZiMoney Services"). We are not a bank or an authorised deposit-taking institution under Australian law, and we do not hold an Australian Financial Services License. Any funds held by ZiMoney on your behalf while facilitating transactions are not protected by the government's Financial Claims Scheme, and you do not have recourse to the Australian Prudential Regulation Authority in relation to our Services. By using ZiMoney, you acknowledge that you are using a payment service provider and not depositing funds with a bank.

2. Account Setup and Verification

To use ZiMoney Services, you must register for an account and provide true, current, and complete information as requested. Eligibility is generally limited to individuals 18 years of age or older (or the age of legal majority in your jurisdiction) who are residents of Australia, and to legitimate businesses operating in Australia. We may reject or approve account applications at our sole discretion.

Identity Verification: Upon registration and from time to time thereafter, you agree to provide information and documents that we request for identity verification, know-your-customer (KYC) checks, or to comply with Anti-Money Laundering and Counter-Terrorism Financing ("AML/CTF") laws. This may include personal identification documents, proof of address, information on the source of funds, and any other details we require to meet our legal obligations. You guarantee that all information you provide is accurate and up-to-date. You must keep your account information updated (including contact details and any identification documents upon expiry). If you fail to provide or update required information, we may suspend or terminate your account.

3. User Obligations and Acceptable Use

By using the ZiMoney Services, you agree to:

Use the Services only for lawful purposes and in accordance with this Agreement and applicable laws and regulations.

Not engage in any activity that is fraudulent, misleading, or harmful to ZiMoney or other users, including activities such as impersonating others, providing false information, or attempting to circumvent security measures.

Only use the Services on your own behalf. You must not use your account to conduct transactions for any third party who is not an account holder (except as allowed for authorized business accounts acting through an authorised representative).

Ensure that any payment instructions or recipient details you provide are correct. ZiMoney is not responsible for losses due to errors in information you submit (for example, sending funds to an incorrect account number provided by you).

Comply with all reasonable requests from ZiMoney for additional information, documentation, or cooperation regarding transaction due diligence, audit requirements, or regulatory inquiries.

You are prohibited from using ZiMoney Services in connection with any illegal activity, including but not limited to money laundering, terrorism financing, fraud, the sale of illegal goods or services, or any transaction that violates trade sanctions or embargoes. If we suspect that your account is being used for unlawful purposes, we may report such activity to law enforcement or regulatory authorities and take appropriate actions such as freezing funds or closing your account.

4. Transactions Rules Clause and Instructions

When you submit a transaction (such as a request to transfer funds) through ZiMoney, you authorise us to process that transaction on your behalf. All transactions are subject to our fraud prevention and security review. We reserve the right to delay, block, or refuse to process any transaction if we have reason to believe it:

(a) violates this Agreement or any law;
(b) is unauthorised or involves fraudulent activity; or
(c) exceeds any limits (amount, frequency, or other) which we may impose.

We will make reasonable efforts to notify you if a transaction is delayed or declined, unless legally prohibited.

ZiMoney operates an online money transfer service that is available 24 hours a day, 7 days a week, and there are no daily cut-off times for initiating Transactions. ZiMoney may impose minimum and maximum Transaction limits which are subject to periodic review. The system will automatically prevent any Transaction that exceeds the maximum permitted limit and will notify you of the applicable limit at the time of initiating the Transaction.

5. Funding Methods Clause and Payout

You may fund Transactions using the methods made available by ZiMoney from time to time. Currently, the available methods are local mobile wallet, bank transfer, and cash pick-up.

You are solely responsible for providing complete and accurate details of the recipient when initiating a transaction. ZiMoney does not independently verify whether the information you provide matches the intended recipient, and ZiMoney shall not be liable for any loss or delay arising from errors or inaccuracies in the information you submit.

6. Fees and Currency Conversion

ZiMoney will disclose fees for transactions or services upfront (for example, transaction fees, conversion margins on currency exchange, or other service fees). By initiating a transaction, you agree to pay the applicable fees, which may be deducted from the funds being transferred or charged separately.

If a currency conversion is involved in your transaction, the exchange rate will be provided or made available to you at the time of transaction. We do not guarantee that our exchange rates will match rates available elsewhere. All fees are charged in Australian Dollars unless otherwise stated. You are also responsible for any taxes, duties or charges that apply to your use of the Services or transactions (excluding taxes on ZiMoney's income).

7. Security and Unauthorised Use

ZiMoney maintains safeguards to protect the security of its services, but you play a crucial role in maintaining security as well. You must keep your login credentials (username, password, and any two-factor authentication device or code) secure and confidential. Do not share your credentials with anyone. ZiMoney will never ask you for your password.

If you suspect that your account has been compromised or used without authorisation, you must notify us immediately at support@zimoney.com or +61 3 8658 7992. We may suspend the account to prevent further unauthorised activity. You may be held responsible for losses incurred by ZiMoney or others due to unauthorised use of your account if you have not kept your account secure or delayed informing us of a breach.

8. Privacy and Data

Your privacy is important to us. Our handling of personal information is governed by our Privacy Policy (the "Privacy Policy"). By entering into this Agreement and using the Services, you acknowledge that you have read the Privacy Policy and understand how we collect, use, and disclose your personal information. In particular, you agree that we may share certain information with third parties (such as identity verification services, banking partners, or regulators) as needed to provide the Services and comply with our legal obligations. We will treat your personal information in accordance with Australian privacy laws. If you receive personal information about other users through the Service (for example, a recipient's contact details for a transfer), you must only use that information for the purpose of fulfilling the transaction and must handle it in accordance with applicable privacy laws.

9. Limitation of Liability

The limitations and exclusions of liability stated in ZiMoney's Terms of Use (particularly under "Disclaimers and Liability") apply equally to this User Agreement and the ZiMoney Services. In summary, to the extent permitted by law, ZiMoney is not liable for indirect or consequential losses, and our total liability for direct losses is limited. We do not guarantee that transactions will be completed within a particular time frame, as delays can occur due to banking systems or other factors beyond our control. ZiMoney is not responsible for any losses arising from: circumstances outside our reasonable control (for example, delays or errors by other financial institutions, communication network failures, or force majeure events); your failure to provide correct information; or unauthorized access to your account (where you have contributed to such access by negligence or breach of this Agreement). Nothing in this Agreement is intended to exclude any consumer guarantees or non-excludable rights you have under the Australian Consumer Law or other applicable law.

10. Termination of Service

This Agreement is effective from the time you accept it (e.g., by creating an account or using the Services) and will remain in effect until your ZiMoney account is closed or your access to the Services is terminated. You may terminate this Agreement at any time by closing your account and ceasing use of the Services. We may suspend or terminate your account or this Agreement at any time for any of the following reasons: (a) you breach any provision of this Agreement or the Terms of Use; (b) we are required to do so by law or court order; (c) we suspect you have engaged in fraudulent or illegal activity; or (d) for security reasons or to protect our legitimate interests. We will give notice of termination where practicable.

Termination of this Agreement will not release either party from any obligations incurred prior to the termination (such as any payment obligations or any liability for breach), and Sections of this Agreement which by their nature should survive termination (such as indemnities, limitations of liability, and dispute resolution) will survive.

11. Intellectual Property

All content on the Site, including text, graphics, logos, software, and trademarks, is owned or licensed by ZIMONEY and protected by Australian and international intellectual property laws. The "ZIMONEY" name and logo are our trademarks and may not be used without prior written consent. You are granted a limited, revocable, non-transferable license to access and use the Site for personal or internal business purposes. Reproduction, distribution, modification, or commercial exploitation of Site content without our permission is prohibited, except as permitted by law.

12. Dispute Resolution

We are committed to resolving customer issues. In the event of a dispute between you and ZiMoney relating to the Services, you agree to first attempt to resolve it by contacting us and using our internal complaints handling process (see our Complaints Policy). If we cannot resolve the dispute to your satisfaction, you may have the right to refer the matter to the Australian Financial Complaints Authority (AFCA) or pursue other legal remedies. Nothing in this Agreement limits or excludes any right to seek remedies available under Australian law.

13. General

Entire Agreement: This User Agreement, together with the Terms of Use, Privacy Policy, and any other policies or supplementary terms incorporated by reference, constitute the entire agreement between you and ZiMoney with respect to the Services. In the event of any conflict between this User Agreement and the Terms of Use, the provisions of this User Agreement will prevail for matters related specifically to the ZiMoney Services.

No Waiver: Our failure to enforce any right or provision of this Agreement does not constitute a waiver of that right or provision.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment: You may not assign or transfer any of your rights or obligations under this Agreement without our prior written consent. We may assign or transfer this Agreement or any right or obligation under it at any time to a related entity or in connection with a merger, acquisition, or sale of assets, provided that your rights are not reduced as a result.

Governing Law: The parties submit to the jurisdiction of the courts for the resolution of any disputes, except where the rules of a recognized external dispute resolution scheme (such as AFCA) apply.

By using the ZiMoney Services, you acknowledge that you have read, understood, and agree to this User Agreement.
